Star Tribune Second Chance Challenge Official Contest Rules and Regulations

1. Second Chance Challenge contest (the “Contest”) is sponsored by Star Tribune Media Company LLC, (“Sponsor”), located at 425 Portland Avenue South, Minneapolis, MN 55488 (“Sponsor’s Address”). Sponsor will conduct the Contest during the period from 7 PM (CDT) from Sunday, March 21, 2010 through Monday, April 5, 2010.

All entries must be received between 7 PM (CDT) on Sunday, March 21, 2010 and 11 AM (CDT) on Monday, April 5. (the “Contest Entry Period”) (11:00 a.m. on Monday, April 5 is referred to as the “Entry Receipt Deadline”). Eligible participants will have a chance to win the following grand prize (the “Grand Prize”): prize package including: LG 32” LCD HDTV valued at $599, or the following second prize (the Second Prize)Pizza for a Year from Pizza Hut! (consisting of 26 large 1-topping pizzas; some restrictions apply) valued at . The value of the prize package is $350.74.

2. Second Chance Challenge Contest is administered by Upickem (“Contest Administrator”) and is presented by Border Foods and FOX 9 KMSP (“Presenting Companies.”)

3. No Purchase Necessary. No purchase is necessary to enter or win the Contest. To enter the Contest, a participant must be an Eligible Participant (as defined below) and must submit an Eligible Entry (as defined below) online at startribune.com/bracketchallenge2 during the Contest Entry Period. Only Eligible Participants may enter the Contest, and each Eligible Participant may enter the Contest only once. Any subsequent entries by the same individual submitted after the first entry is received will be automatically disqualified.

4. Eligibility Criteria: An “Eligible Participant” is an individual person who is at least 18 years of age, is a legal resident of either Minnesota or Wisconsin, and is not a Disqualified Person (as defined below. “Entrant” means an Eligible Participant who submits an Eligible Entry. An “Eligible Entry” means any Contest entry that:
(i) has been legibly and completely filled out, by and in the name of the Eligible Participant, and submitted online through startribune.com/bracketchallenge2 during the Contest Entry Period and by Entry Receipt Deadline on an official entry form;
(ii) contains the Eligible Participant’s prediction of the remaining 16 teams games in the NCAA Men’s College Basketball Tournament and a prediction for the score of the final game.
(iii) has been received by Sponsor via startribune.com/bracketchallenge2 not later than the Entry Receipt Deadline. Only Eligible Entries shall be eligible for the Contest and the chance to win the Grand Prize. Neither Sponsor nor any Participating Companies shall be responsible for lost, late, misdirected, incomplete, illegible or mutilated entries, or (reaching the site) each of which shall be ineligible.

5. Selecting a Winner. Subject to these Contest Rules, the Grand Prize will be awarded to the Entrant who scores the most points during the Contest, as outlined below in “Scoring.” The Second Prize will be awarded to the Entrant who scroes the second most points during the Contest, as outlines below in “Scoring”. In the event of a tie, the tie will be broken as outlined below in “Breaking Ties.” Scoring is done by the Contest Administrator.

6. Scoring. Points are awarded by correctly predicting the winner of each remaining game in the NCAA Men’s College Basketball Tournament (which remaining games run from Thursday, March 25, 2010 through Monday, April 5, 2010. Selections need to be made no later than 20 minutes before each scheduled game time.

Each round of the tournament is worth 64 points. There are 4 rounds in the tournament for the remaining 16 teams that total up to 256 points. Correctly predicting:
(i) Round 3 games is worth 8 points each.
(ii) Round 4 games is worth16 points each.
(iii) Round 5 games is worth 32 points each.
(iv) The Round 6 game is worth 64 points.

7. Breaking Ties. If there are ties for overall score the Contest Administrator takes those Entrants that picked the championship game correctly and applies the "Score Approximation Formula" outlined below. If there are still ties the Contest Administrator determines who had:

(i) The most points earned in the Fifth Round.
(ii) The most points earned in the Fourth Round.
(iii) The most points earned in the Third Round.
(iv) If there is still a tie the Contest Administrator randomly selects a winner from the tied Entrants.

Score Approximation Formula:
Entrants pick who they think is going to win along with the score for a designated tie-breaker game. The Contest Administrator then takes all the Entrants who are tied and applies this "Score Approximation Formula" outlined in points 1-3 immediately below:
1. Subtracts what the Entrant chose as the score for the winning team from the actual winning team's score and squares this value.
2. Subtracts what the Entrant chose as the score for the losing team from the actual losing team's score and squares this value.
3. Adds 1 and 2 above together to get the Entrant's "score approximation".
If there is still a tie after determining the "score approximation" then the Contest Administrator randomly selects a winner from the Entrants who are tied.

8. To claim all or any portion of the Grand Prize or Second Prize, each Entrant who has submitted a winning Entry must do each of the following:
a) Come to Sponsor’s Address at a mutually agreed date and time at least two weeks prior to the delivery of the Grand Prize or Second Prize;
b) Present to Sponsor his or her valid Social Security Card, and be responsible for all fees and taxes (including state, local, and federal) associated with the prize;
c) Sign such releases and acknowledgement forms as Sponsor shall provide, whereby the Entrant shall, among other things, (i) release Sponsor and all Participating Companies from all liability in connection with the Contest and (ii) acknowledge that Sponsor and each Participating Company shall have the right, without further authorization, to publicize, for promotional purposes without financial remuneration, the Entrant’s name, character likeness, photograph, voice, and/or the fact that the Entrant is a Grand Prize or Second Prize winner.

9. The following are “Disqualified Persons”: (i) Employees of Sponsor any Participating Company, or Contest Administrator and the immediate family members of those employees; (ii) any person who, within 30 calendar days before the beginning of the Contest Period, has won another contest or promotion of any kind that was sponsored by The Star Tribune Company; and (iii) any participant in the NCAA Men’s College Basketball Tournament. The term "immediate families" includes spouses, grandparents, parents, siblings, children, and grandchildren.

10. Disqualified Persons may not participate and are not eligible to win the Contest. Difficulties with entering the Contest online are not the responsibility of Sponsor, Contest Administrator, or any Participating Company. Difficulties include but are not limited to Internet crashes or slowdowns caused by network congestion, viruses, sabotage, satellite failures, phone line failures, electrical outages, natural disasters or acts of man or God.


11. Offer void where prohibited or restricted.

12. There will be no substitution for prizes. Participation in the Contest and the prizes awarded are non-transferable. Failure timely to collect the prize in accordance with these Contest Rules constitutes forfeiture of the prize. If forfeited, the prize will remain the property of Sponsor. Another winner will not be selected.

13. Sponsor and the Participating Companies reserve the right to make changes in the Contest and/or these rules without notice at any time, including but not limited to the right to change the aforementioned Contest Period without notice. Without limitation of the foregoing, Sponsor reserves the right to cancel, amend and/or revoke this Contest due to printing errors or other mistakes. Sponsor does not accept correspondence or telephone inquiries regarding the status of entries.

14. The decision of Contest Administrator and Sponsors in the interpretation of these rules is final. By submitting a purported Contest entry, each person submitting one or more purported Contest entries (“Participant”) agrees to be bound by the decisions of the Contest judges and the official rules, as interpreted and/or changed by Sponsor.

15. If any winner is found to be in violation of the rules, he/she may be required to forfeit his/her prize.

16. Neither Sponsor, Contest Administrator nor any Participating Company, nor any of their representatives, agencies or employees are responsible for any changes or difficulties in travel, lodging, ticket arrangements, or prize delivery.

17. The prize does not cover any other expenses, including but not limited to tax, license, registration, fuel or repairs. Neither Sponsor nor any Participating Company is responsible for or provides any warranties regarding the operation or use of any prize. Other restrictions may apply.

18. By entering this Contest, each Participant acknowledges that he/she has read, understood, and accepted and agreed to all of the rules, regulations, terms and conditions for participating in this Contest. By entering this Contest, each Participant understands that in no way is there any guaranty that any prize of any value will be awarded. Each Participant hereby releases each of the following from any and all liability with respect to or arising out of the Contest and/or the acceptance, use, misuse or possession of any prize and/or the loss or misdirection of any prize: Sponsor, Contest Administrator, each Participating Company, and their respective affiliates, subsidiaries, divisions, franchises, advertising and promotional agencies, and their respective officers, directors and employees.
